TERMS AND CONDITIONS OF MEMBERSHIP, PLATFORM REGISTRATION, AND VALUE-CHAIN PARTICIPATION
Welcome to the digital ecosystem operating under the domains allwomen.africa, eduafrica.store, allWomen Community, and the eduBox Mobile Application (collectively referred to as "the Platform").
By registering an account on the Platform as a Parent, Supplier, School Authority, or eduCourier, you expressly acknowledge and agree that you are applying for membership in, and entering into a binding legal agreement with, the uXpress Co-operative Savings and Credit Society (SACCO) Limited (hereinafter referred to as "the Society"). The Society is fully registered and governed under the provisions of the Cooperative Societies Act [Chapter 24:05] (or the corresponding local cooperative statute of deployment).
All services provided on the Platform—including but not limited to electronic wallets, credit facilities, deposit-taking, multi-tenant digital trade marketplaces, and fractional real estate/infrastructure investments—are proprietary activities defined within the By-Laws of the uXpress SACCO Society and are fully indemnified under the statutory powers granted by the Cooperative Societies Act.
To ensure absolute compliance with national financial and banking regulators, all transactional functionalities across the application layer are legally designated as internal, member-driven co-operative operations:
Platform Wallets & Deposit-Taking: Any funds credited to a Parent, Supplier, School, or eduCourier wallet are legally classified as Member Savings Deposits or Share Capital Allocations within the uXpress SACCO. These deposits do not constitute public deposit-taking under general Banking Acts, as transactions are strictly restricted to registered members of the Society.
Buy Now Pay Later! (BNPL) Credit Facility: The BNPL framework operates strictly as an Internal Member Credit & Provident Loan Line. Credit approvals, limits, and repayments are administered under the credit disbursement rules of the Cooperative By-laws and are exempt from standard commercial microfinance lending acts.
eduVest Infrastructure Fractionalization: All infrastructure investments into schools, agricultural supply chains, uniform manufacturing plants, or ZWPSL sports facilities via eduVest are executed as Co-operative Development Bonds or Fractional Co-operative Equity Units. Profits are distributed back to members as Patronage Refunds or Dividends under statutory cooperative surplus-sharing formulas.
eduSure Protection Allocation: The automated funding of the eduSure child insurance product via a background allocation of 30% of supplier product discounts is an internal Co-operative Member Mutual Aid & Benevolent Fund Scheme. The calculation, premium pool target configuration by the Super Admin, and subsequent card/QR issuance are closed-loop risk-mitigation measures managed internally by the Society for its members.
Democratic Onboarding: Registration requires explicit declaration of intent (Parent, Supplier, School, or eduCourier). Upon confirmation, the member is bound to democratic cooperative principles, including the "one-member, one-vote" governance matrix applied within the eduVest Co-operative Society investment modules.
Deterministic KYC & Hierarchical Routing: Each member parent receives a unique Parent Base ID. Each registered child is assigned a derived, deterministic Child Account Number (e.g., BASE-ID-C01) which acts as an immutable inner-ledger accounting and transaction key. The associated dynamic vector QR code serves as an institutional passport for identity verification, transaction settlement at allWomen uXpress retail networks, and service voucher redemption.
Service Voucher Tracking & Redemption: When a parent purchases non-tangible assets (e.g., school fees, field trips, extracurricular music lessons, or tutoring services), the system mints a cryptographic Service_Voucher.
Escrow Release Mechanics: The physical scanning of the child’s QR code by an authorized Service Provider or School Authority transitions the voucher state to Fully_Consumed. This digital event instantly releases escrowed funds from the uXpress SACCO settlement engine into the verified Service Provider’s wallet, constituting an internal, audited member-to-member payment settlement.
Pre-Loved Marketplace: Peer-to-peer sales of used educational goods by parents are processed as direct member-to-member barters or settlement cleanings inside the internal wallet infrastructure, subject to quality reviews and dispute resolution by the Super Admin panel.
Privacy & Information Tracing: Data collected under the Individualized Support & Appointment Tracking Module is strictly restricted via Role-Based Access Control (RBAC). School Authorities and explicit Service Providers are granted time-bound tracking visibility solely to protect the child’s physical well-being.
Emergency Dispatch Indemnity: The triggering of a high-priority automated emergency broadcast by a School Authority routes vital child telemetry, GPS coordinates, and severity indicators simultaneously to external Emergency Service Providers (ESPs) and parents. The uXpress SACCO acts solely as the technical infrastructure pipeline and holds zero liability for the operational response times of third-party emergency medical or security services.
Arbitration Under Cooperative Law: In the event of an operational, financial, or transactional dispute between any members (including Parents, Suppliers, or Schools) and the Platform, the matter shall not be referred to ordinary courts of law in the first instance.
Statutory Recourse: All disputes must be submitted to the Registrar of Cooperative Societies for arbitration in accordance with the provisions of the Cooperative Societies Act.
Amendments: The Super Admin Directorate reserves the right to dynamically adjust platform fee splits, insurance premium targets, delivery distance pricing configurations, and cooperative dividend metrics via the central control panel to maintain the financial safety and soundness of the uXpress SACCO ledger.
